1. Acceptance of Terms

2. Scope of Services
We provide Web Development, Mobile App Development, UI/UX Design, and related IT services. Specific project details, including scope, budget, and timeline, will be governed by a separate Statement of Work (SOW) or Service Agreement.
3. Intellectual Property (IP) Ownership
Client IP: All final deliverables (code, design files, content) are owned by the Client upon final payment.
Agency IP: Navabharath Technologies retains ownership of any pre-existing tools, proprietary code libraries, or generic software/methodologies used to create the deliverables.
4. Client Responsibilities
The client must provide timely content, necessary access to systems, and prompt feedback. Project delays caused by the client may result in schedule and cost adjustments.
5. Payment Terms
- Invoicing: Specific deposit requirements (e.g., 50% upfront) and payment milestones will be outlined in the SOW.
- Late Fees: We reserve the right to charge interest on late payments.
- Refunds/Cancellations: Deposits are generally non-refundable unless otherwise specified in the agreement.
6. Warranties and Maintenance
Bug Fix Period: We provide a limited warranty period (e.g., 30 or 60 days post-launch) during which we will fix errors in the delivered code free of charge.
Exclusions: The warranty does not cover issues caused by third-party modifications, client content changes, or software updates outside our control.
7. Limitation of Liability
Our liability is limited to the amount paid by the client for the specific service. We are not liable for consequential business losses (e.g., loss of revenue) resulting from a bug or service failure.
8. Termination
Either party may terminate a project or agreement under specific conditions, such as material breach of contract, non-payment, or insolvency, as detailed in the service agreement.
9. Indemnification
The client agrees to hold Navabharath Technologies harmless from any claims or lawsuits (e.g., copyright infringement) arising from the content or materials the client provided for the project.
10. Governing Law
These Terms and Conditions are governed by and construed in accordance with the laws of Karnataka, India.
11. Changes to Terms
We reserve the right to update these terms at any time. The latest revision date will be indicated on this page.
